Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Factors Education Inc. platform and services ("Service", "Platform", "Factors", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Eligibility and Authorized Use

The Service is intended for use by K-12 educational institutions, educators, and students under the supervision of their schools. By using the Service, you represent that you are authorized to enter into these Terms on behalf of yourself or your institution. If you are under 18, you may only use the Service with the involvement and consent of your school or parent/guardian.

Regulatory Compliance

Factors Education Inc. is designed to operate in compliance with applicable student data privacy laws and regulations, including but not limited to:

  • COPPA (Children's Online Privacy Protection Act): We do not knowingly collect personal information from children under 13 without verifiable parental or school consent, consistent with COPPA requirements. Educational institutions acting as agents of parents may provide consent on behalf of students in accordance with applicable FTC guidance.
  • FERPA (Family Educational Rights and Privacy Act): When we process education records on behalf of a school or district, we do so as a "school official" with a legitimate educational interest under FERPA. We do not use education records for any purpose other than providing the Service to the contracting institution.
  • CITE (California Information Technology Education Act) and State Student Privacy Laws: We comply with applicable state-level student data privacy statutes, including California's student privacy framework. We do not sell student data, do not use student data for targeted advertising, and implement reasonable security measures to protect student information.
  • PIPEDA (Personal Information Protection and Electronic Documents Act): For users in Canada, we comply with PIPEDA and applicable provincial privacy legislation. We collect, use, and disclose personal information only for purposes that a reasonable person would consider appropriate and with meaningful consent where required.

User Responsibilities

By using the Service, you agree to:

  1. Provide accurate and complete information when creating an account.
  2. Use the Service only for lawful educational purposes.
  3. Obtain any required consents from parents, guardians, or institutions before allowing students to access the Service.
  4. Not attempt to reverse-engineer, decompile, or disassemble the Service.
  5. Not use the Service to transmit harmful, offensive, or unlawful content.

Intellectual Property

All content, features, and functionality of the Service -- including text, graphics, software, and underlying technology -- are owned by or licensed to Factors Education Inc. and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

AI-Generated Content

The Service uses artificial intelligence to generate lesson plans and educational content. AI-generated outputs are provided as suggestions and should be reviewed by educators before use. Factors Education Inc. does not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose. Educators retain full professional responsibility for the content they deliver to students.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FACTORS EDUCATION INC. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FACTORS EDUCATION INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNTS PAID BY YOU TO FACTORS EDUCATION INC. IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Factors Education Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your failure to obtain required consents; or (d) your violation of any applicable law or third-party rights.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimers, limitations of liability, and indemnification.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Ontario, Canada.

Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify users by posting the updated Terms on the Service with a revised "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
